Our highly reputable and long standing insurance client is seeking a high profile Company Secretary to lead the function into 2022 / 2023. You will have overall responsibility for corporate governance, including maintenance of corporate books and records and oversight of statutory and regulatory obligations of entities within the organisation. The role will report to the International CFO.
Responsibilities:
- Manage Assistant Company Secretary
- Manage Board and Committee governance
- Oversight of the central diary for Group entities board meetings
- Maintenance of all documents describing the Governance framework of the business
- Manage the preparation of boards and committees with support from Assistant Company Secretary
- Maintenance of annual board planner
- Maintenance of the Group structure chart and ownership information
- Maintenance of corporate entity database with core entity information with support from Assistant Company Secretary
- Produce governance related board report and quarterly governance report to the relevant boards
- Management of Regulatory and statutory filings
- Coordinating and managing with Head Office in-house counsel and international finance/accounts team to prepare documentation regarding intra-group cash movements (i.e. dividends, capital contributions, share issuances, buyback share etc.)
- Keeping a central file of all current intra-group agreements (service agreements, IP licenses, agreements, loan agreements) and ensuring the current versions are saved correctly
- Oversight and management of international acquisitions and management of new board
- Management of all third-party corporate governance administrators and providers
- Maintenance of governance and compliance policies
- Provide advice and information to directors and officers as required
- Provide input to adhoc projects and work streams across the Group
- Support the business to complete any KYC and other governance requests, both internally and externally
- Aid the Parent Company Group General Counsel as required
- Board portal super user on Diligent
- Management of induction of new board members
- Management of Employee share options
Requirements
- ICSA qualified or completed a legal degree
- Able to demonstrate an understanding of company secretary governance, corporate business practices and legislation
- Demonstrates strong corporate administration skills
- Experience in financial services
- Able to work under pressure, with limited supervision
- Discretion and integrity handling confidential information
- Excellent spoken and written communication skills with strong interpersonal skills
- Experience with M&A activity also an interesting skillset
Base salary of offer is £150,000 - £200,000 plus a 10% retention bonus payable on completion of the 12month term. There is a view you may also be engaged further after the initial period.
Base salary offer will be based on experience / merit based and fit for the role.
